Terms of Service
Working commercial terms for product transparency. Counsel must approve the final agreement, especially fees, warranties, indemnity, liability, dispute resolution, and termination provisions.
1. Agreement and eligibility
These Terms form an agreement between Monolith Data Systems LLC (“Monolith,” “we,” or “us”) and the person or entity accepting them (“Customer” or “you”). By creating an account, ordering, or using CoreFlow OS (the “Service”), you agree to these Terms. If you act for an organization, you represent that you can bind it.
The Service is currently offered to US-headquartered businesses and is not intended for personal, household, or consumer use. An order form, enterprise agreement, or Data Processing Addendum signed by both parties controls over conflicting online terms for its subject matter.
2. Service, authorized users, and changes
CoreFlow provides organization-scoped workspaces, planning and operating tools, integrations, AI-assisted features, administrative controls, and related support. Customer may permit authorized users to use the Service within purchased limits and is responsible for their activity, credentials, permissions, and compliance.
We may improve or change the Service. We will use reasonable efforts to give advance notice of a material reduction to core paid functionality. Preview, beta, free, and experimental features may change or end at any time and may have different support commitments.
3. Trials, plans, fees, and renewal
Current plan features and limits appear on Pricing or an applicable order form. A new subscription may begin with a 30-day trial. When a payment method is collected, paid service renews automatically at the end of the trial and each billing period unless canceled before renewal.
Fees are charged through Stripe, are exclusive of applicable taxes, and are generally non-refundable except where required by law or stated in an order form. Customer authorizes recurring charges and is responsible for current billing details. We may change future pricing with advance notice; changes apply at the next renewal unless otherwise stated.
4. Customer Data, privacy, and intellectual property
Customer retains its rights in Customer Data. Customer grants Monolith a limited right to host, process, transmit, display, and create service-generated derivatives from Customer Data only as needed to provide, secure, support, and improve the Service consistent with the Privacy Policy and applicable DPA.
Customer represents it has the rights and notices needed to submit Customer Data and authorize integrations. Customer controls user access and must not submit regulated or highly sensitive data unless the Service and a written agreement expressly support it.
Monolith and its licensors own the Service, documentation, designs, software, and related intellectual property. Feedback may be used without restriction or obligation, but it does not transfer Customer Data ownership.
5. AI-assisted features
The Service may generate summaries, classifications, drafts, plans, recommendations, and actions using third-party model providers. Outputs can be inaccurate, incomplete, or unsuitable. Customer must review outputs and remains responsible for decisions, communications, records, and actions based on them.
Customer must not use AI outputs as a substitute for professional legal, financial, medical, employment, safety, or accounting judgment. Permissions and approval controls reduce risk but do not eliminate it. Monolith does not authorize model providers to train on Customer Data through our API use.
6. Acceptable use
Customer and users must not:
- Violate law, privacy rights, contracts, sanctions, or intellectual-property rights.
- Upload malware; conduct phishing, spam, fraud, harassment, or unlawful surveillance.
- Bypass authentication, tenant isolation, permissions, approval controls, usage limits, or security safeguards.
- Probe or test security without written authorization, or interfere with service availability.
- Reverse engineer or copy protected elements except where law does not permit restriction.
- Resell, sublicense, or provide the Service to third parties except as expressly permitted.
- Use the Service or output to make prohibited high-impact decisions without required human review and lawful safeguards.
7. Security, integrations, support, and confidentiality
Each party will use reasonable safeguards for confidential information. Monolith maintains security measures designed for the Service and will notify affected customers of confirmed incidents as required by law and contract. Customer is responsible for endpoint security, user lifecycle, role configuration, integration scopes, and promptly reporting suspected compromise.
Third-party integrations and external services are governed by their providers. Monolith is not responsible for third-party service availability, changes, or independent processing, but will operate its integration boundary as described in the Service and sub-processor list.
8. Suspension, cancellation, and termination
Customer may cancel through available billing controls or written notice. We may suspend access when reasonably necessary to address nonpayment, security risk, unlawful use, material breach, or harm to the Service or others. Where practicable, we will provide notice and an opportunity to cure.
Either party may terminate for an uncured material breach after written notice, or immediately for insolvency where permitted. After termination, Customer should export data during the documented availability period. We may delete Customer Data after that period, subject to legal retention, backup lifecycle, and the DPA.
9. Disclaimers, indemnity, and limitation of liability
Counsel-review placeholder. Except for express written commitments, the Service, previews, integrations, and AI outputs are provided “as is” and “as available,” to the maximum extent permitted by law. We do not warrant uninterrupted or error-free operation or that outputs will be accurate.
Indemnity and liability language is not final. The production agreement must define each party’s defense obligations, excluded damages, liability cap, exceptions, claim process, and any enhanced data-protection cap. Do not rely on this draft as an executed allocation of risk.
10. General terms
These Terms and incorporated documents are the entire agreement for the Service unless superseded by a signed agreement. Neither party may assign the agreement except in connection with a merger, reorganization, sale of substantially all assets, or with consent, subject to final counsel language. Connecticut law governs, without regard to conflict rules; the final venue and dispute procedure remain subject to counsel approval.
Notices may be delivered electronically to account administrators. If a provision is unenforceable, the remainder continues. Failure to enforce is not a waiver. Neither party is liable for delay caused by events beyond reasonable control, subject to payment obligations and final counsel language.
We may update these Terms. Material changes will be posted with a revised date and, where reasonably practicable, sent to customer administrators before taking effect. Questions: legal@monolithdata.com.
